Terms of Service

1. Introduction & Acceptance

These Terms of Service (“Terms”) govern your use of the SongShare platform at www.songshare.co.uk (“the Platform”), operated by GreenTree t/a TEGTG Ltd, registered in England and Wales, with its registered address at 89–90 Paul Street, London EC2A 4NE (“we”, “us”, “our”).

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use SongShare. These Terms constitute a legally binding agreement between you and GreenTree t/a TEGTG Ltd.

2. Eligibility

You must be at least 18 years of age to create an account on SongShare. By registering, you confirm that you are 18 or over and that the information you provide is accurate and complete. If you are registering on behalf of an organisation (church, record label, school, or other entity), you confirm that you have the authority to bind that organisation to these Terms.

3. Account Types & Registration

SongShare offers individual accounts (for songwriters, worship leaders, musicians, producers, choir directors, and listeners) and organisation accounts (for churches, record labels, schools, broadcasters, event promoters, charities, and other organisations).

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you become aware of any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in conduct that is harmful to SongShare or its community.

4. The SongShare Platform

SongShare is a digital archive and platform for Caribbean and African Gospel music, designed to serve the Church, community, and culture in Britain and Ireland. The Platform provides features including but not limited to: creator profiles and a public directory, song and lyric hosting, performance logging, royalty evidence tracking, learning resources, community features, and church/venue directories.

We aim to keep the Platform available at all times but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Platform at any time, with reasonable notice where practicable.

5. Subscriptions & Payments

Some features of SongShare require a paid subscription. Details of available plans and pricing are published on the Platform. By subscribing to a paid plan, you agree to pay the applicable fees.

Free Trial: Where a free trial is offered, you will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the published rate.

Billing: Subscription fees are billed monthly or annually as indicated at the time of purchase. All prices are in British Pounds (GBP) and include VAT where applicable.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are given for partial billing periods, except where required by law.

Price Changes: We may change subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

6. Your Content

Ownership: You retain full ownership of all content you upload to SongShare, including songs, lyrics, chord charts, audio recordings, images, blog posts, comments, and profile information (“Your Content”). SongShare does not claim ownership of Your Content.

Licence Grant: By uploading content to SongShare, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, display, reproduce, and distribute Your Content solely for the purpose of operating and promoting the Platform. This licence continues for as long as Your Content remains on the Platform and terminates when you remove it or delete your account, except where copies have been made by other users as permitted (e.g. saved to a church worship playlist) or where retention is required for legal or archival purposes.

Representations: You represent and warrant that you own or have the necessary rights, licences, and permissions to upload Your Content, and that Your Content does not infringe the intellectual property, privacy, or other rights of any third party.

Responsibility: You are solely responsible for Your Content. We do not endorse, verify, or guarantee the accuracy of any user-submitted content.

7. Intellectual Property

The SongShare platform, including its design, branding, logos, code, features, and original content (excluding user-submitted content), is the intellectual property of GreenTree t/a TEGTG Ltd and is protected by copyright, trade mark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Platform, nor may you reverse-engineer or attempt to extract the source code, except as expressly permitted by law.

8. Performance Logging & Royalty Evidence

SongShare provides tools to help songwriters log performances and build evidence for royalty claims with collecting societies such as PRS for Music. However:

SongShare does not collect, distribute, or pay royalties. We are not a collecting society, publisher, or rights administrator.

Performance data logged on SongShare is provided as a convenience and evidence-gathering tool. We do not guarantee that collecting societies will accept SongShare data as evidence for royalty claims.

You are responsible for ensuring that your PRS for Music, CCLI, MCPS, PPL, or other collecting society registrations are accurate and up to date.

SongShare is not liable for any lost royalties, rejected claims, or errors in performance data entered by users.

9. Prohibited Conduct

When using SongShare, you must not:

Upload content that you do not own or have rights to. Upload content that is unlawful, defamatory, obscene, threatening, harassing, or that promotes hatred or discrimination. Use the Platform for any commercial purpose not authorised by these Terms. Attempt to gain unauthorised access to any part of the Platform, other users' accounts, or our systems. Use automated tools (bots, scrapers) to access or collect data from the Platform without our written permission. Impersonate another person or entity, or misrepresent your affiliation with any person or entity. Upload malware, viruses, or other harmful code. Circumvent or interfere with any security features of the Platform.

We reserve the right to remove content and suspend or terminate accounts that violate these Terms, at our sole discretion and without prior notice.

10. Copyright & Takedown

We respect intellectual property rights and expect our users to do the same. If you believe that content on SongShare infringes your copyright, please see our Copyright & Takedown Policy for instructions on how to report it.

11. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any content on the Platform is accurate or reliable.

SongShare does not provide legal, financial, or professional advice. Information about royalties, rights, and collecting societies is provided for general guidance only. You should seek independent professional advice where appropriate.

12. Limitation of Liability

To the fullest extent permitted by law:

GreenTree t/a TEGTG Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or business opportunities, arising from your use of or inability to use the Platform.

Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount you have paid us in subscription fees in the 12 months preceding the claim, or £100, whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify and hold harmless GreenTree t/a TEGTG Ltd, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: your use of the Platform, Your Content, your breach of these Terms, or your violation of any third-party rights.

14. Termination

You may close your account at any time by contacting us at SongShare.co.uk@gmail.com.

We may suspend or terminate your account at any time if you breach these Terms, or if we reasonably believe your continued use poses a risk to the Platform, other users, or third parties. We will endeavour to provide notice before termination, except in cases of serious or repeated violations.

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will continue to apply.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

16. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before commencing legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation and, if necessary, mediation.

17. General

Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, Copyright & Takedown Policy, and Community Guidelines, constitute the entire agreement between you and us regarding your use of the Platform.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
